Welcome to Yeoman. These Terms of Service (“Terms”) are a legally binding agreement between you and Yeo Foods, Inc., a Delaware corporation doing business as Yeoman (“Yeoman,” “we,” “us,” or “our”), located at 135 W 10th St, New York, NY 10014. These Terms govern your access to and use of the Yeoman website at yeoman.ai, our web and mobile applications, the Main St GPT assistant, our SMS/iMessage ordering channel, our application programming interfaces (“APIs”), and all related tools, features, content, and services (together, the “Services”).
PLEASE READ THESE TERMS CAREFULLY. SECTION 26 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. UNLESS YOU OPT OUT WITHIN 30 DAYS AS DESCRIBED IN SECTION 26.9, YOU AND YEOMAN AGREE TO RESOLVE MOST DISPUTES THROUGH INDIVIDUAL ARBITRATION, NOT IN COURT, AND YOU WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
1. Agreement to These Terms
1.1 Acceptance. By creating an account, clicking to accept, placing or receiving an order, texting our ordering number, using Main St GPT, or otherwise accessing or using the Services, you agree to these Terms and to the policies incorporated into them. If you do not agree, do not use the Services.
1.2 Incorporated policies. The following are part of these Terms: the Yeoman Privacy Policy, the Yeoman Refund and Replacement Policy, any seller order form, subscription plan, or fee schedule you accept (“Order Form”), and any additional rules, guidelines, or supplemental terms we post for particular features (together, the “Policies”).
1.3 Order of precedence. If there is a conflict, a signed Order Form controls for the fees and commercial terms it covers; supplemental terms for a specific feature control for that feature; and otherwise these Terms control.
1.4 Acting for a business. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind it, and “you” includes that organization.
2. About Yeoman and Our Role
2.1 What Yeoman is. Yeoman is a two-sided online marketplace and business operating platform. It connects people and businesses that want to buy products (“Buyers”) with wholesalers and local businesses that sell them (“Sellers”), and gives Sellers tools to run their business, including a marketplace (“Explore”), purchase tracking (“Purchases”), an orders and fulfillment hub (“Sales”), payouts (“Earnings”), contact, customer, and team management (“People”), a product catalog (“Catalog”), analytics, and messaging. Both consumers and businesses may be Buyers. “Users” means Buyers, Sellers, team members, and anyone else who uses the Services.
2.2 Yeoman is a neutral third party. Yeoman provides a venue and technology. Yeoman is not the seller, buyer, manufacturer, distributor, or merchant of record of any product, and never takes title to, ownership of, or possession of products sold through the Services. Each sale is a contract directly between the Buyer and the Seller. The Seller is the seller of record and is solely responsible for its products, listings, pricing, fulfillment, customer service, refunds, and legal compliance.
2.3 No endorsement or verification. We do not pre-screen, inspect, test, or endorse Users or products, and we do not guarantee the quality, safety, legality, or accuracy of any listing, product, or User. Any badges, rankings, or recommendations are informational only.
2.4 Limited payment collection agent. To the extent Yeoman is deemed to receive or handle funds for a Seller, the Seller appoints Yeoman as its limited agent solely to accept payment from Buyers on the Seller’s behalf. A Buyer’s payment through the Services satisfies the Buyer’s payment obligation to the Seller for that order, even if the Seller does not later receive the funds. For card-processing purposes, Yeoman may be the account that processes the charge (using Stripe destination charges or a similar structure), and charges may appear on Buyer statements as “Yeo Foods, Inc.” or “Yeoman.” This payment role is administrative only: it does not make Yeoman the seller, merchant of record for the product, or a party to the sale, and it does not change the Seller’s responsibility for its products, fulfillment, refunds, and chargebacks.
3. Eligibility
To use the Services, you must: (a) be at least 18 years old and able to form a binding contract; (b) be located in the United States (the Services are offered in the United States only); (c) not be barred from using the Services under U.S. law or listed on any U.S. government restricted-party list; and (d) not have been previously suspended or removed from the Services, unless we have agreed in writing to let you return. The Services are not intended for, and may not be used by, anyone under 18.
4. Accounts
4.1 Sign-in. You may need an account to use some features. Sign-in and authentication are provided through a third-party authentication provider (currently Clerk). You agree to provide accurate, current, and complete information and to keep it updated.
4.2 Security. You are responsible for keeping your login credentials, devices, and connected accounts secure, and for all activity that occurs under your account, including activity by your team members, anyone using your phone number to text our ordering channel, Main St GPT acting on your instructions, and any AI agent you authorize (see Section 11). Tell us promptly at legal@yeoman.ai if you believe your account has been compromised.
4.3 Teams and roles. Business accounts may add team members and assign role permissions. The account owner is responsible for choosing appropriate permissions, for the conduct of its team members, and for removing access when it is no longer appropriate. Actions taken by a team member within the permissions you grant are treated as your actions.
4.4 No transfer. You may not sell, transfer, or share your account without our written consent.
5. Buying on Yeoman
5.1 Orders. When you place an order, you are making an offer to buy from the Seller at the price and on the terms shown. An order becomes a binding contract between you and the Seller when the Seller accepts it (acceptance may be automatic). Sellers may decline orders, and prices, availability, and delivery options can change until an order is accepted.
5.2 Ways to order. You may place orders through the website or app, through Main St GPT, by text message to our ordering number (Section 12), through a payment link sent to you, or through an AI agent you authorize (Section 11). Every order placed through any of these channels is governed by these Terms.
5.3 Pricing. Prices are set by Sellers. Sellers may offer different prices to different customers (for example, negotiated or per-customer business pricing). Prices shown may exclude taxes, shipping, delivery, or other charges, which will be shown before you pay.
5.4 Buyer service fees. Yeoman may charge Buyers a service, convenience, or similar fee for using the Services, in addition to the Seller’s price. Any such fee will be disclosed before you complete your purchase and is charged by Yeoman, not the Seller. Unless required by law or stated otherwise at checkout, service fees are non-refundable, including when an order is refunded. We may introduce, change, or waive service fees at any time, and changes will not apply to orders already placed.
5.4 Buyer responsibilities. You agree to: (a) provide accurate order, delivery, and contact information; (b) pay for orders you place, including orders placed through Main St GPT, SMS, payment links, or your authorized AI agents; (c) be available to receive deliveries or pick up orders as arranged; (d) inspect products promptly on receipt; (e) follow any storage, handling, allergen, and use instructions; and (f) comply with all laws that apply to your purchase and use of products.
5.5 Delivery, pickup, and risk. Sellers fulfill orders by carrier shipment, their own delivery, or customer pickup. Delivery dates are estimates. As between you and Yeoman, Yeoman bears no risk of loss for any product. Risk of loss and title pass between you and the Seller according to the Seller’s terms and applicable law.
5.6 Refunds and replacements. Requests for refunds or replacements are handled under the Yeoman Refund and Replacement Policy. Returns are not accepted at this time.
5.7 Purchases and uploaded receipts. The Purchases feature lets you track purchases made on Yeoman and upload receipts, invoices, and other records of purchases made elsewhere (“Third-Party Receipts”). You represent that you have the right to upload them. You authorize Yeoman to extract, store, analyze, and use their contents (including supplier, product, pricing, and quantity information) as described in Section 15 and our Privacy Policy.
6. Selling on Yeoman
6.1 Seller onboarding. To sell, you must create a Seller account, complete any Order Form, complete Stripe onboarding (Section 8.3), and provide any business, identity, tax, licensing, and bank information we or Stripe request. We may approve, decline, or limit Seller accounts at our discretion.
6.2 Listings and Catalog. You are solely responsible for your listings and Catalog, including product names, descriptions, images, ingredients, allergen information, nutrition and labeling information, country of origin, certifications, prices, inventory, and availability. Listings must be accurate, complete, not misleading, and kept up to date.
6.3 Catalog ingest and connections. You may authorize Yeoman to connect to your point-of-sale, inventory, e-commerce, accounting, or other systems, or to import your product feeds, price lists, and files. You authorize Yeoman to access, copy, import, normalize, enrich, and display that data and to keep it synchronized. You are responsible for the accuracy of imported data and for reviewing listings Yeoman creates from it. Yeoman may also compile product information from publicly available sources and product feeds. A business that believes information about it is inaccurate may contact us at legal@yeoman.ai.
6.4 Seller representations and warranties. You represent, warrant, and agree that: (a) you are a lawfully organized and operating business with all licenses, permits, registrations, and insurance required to make, store, handle, sell, and ship your products; (b) you have the right to sell every product you list, and your products are genuine, safe, fit for their ordinary purpose, and not adulterated, misbranded, counterfeit, expired, recalled, or stolen; (c) your products, packaging, and labeling comply with all applicable laws, including food safety, labeling, allergen disclosure, weights and measures, and consumer protection laws; (d) your listings and communications are accurate and do not infringe anyone’s rights; (e) you will honor accepted orders at the price and on the terms shown; and (f) you will comply with all laws that apply to your business, including tax, privacy, anti-spam, telemarketing, and employment laws.
6.5 Fulfillment. You are responsible for fulfilling accepted orders promptly and as described, including packaging suited to the product (especially perishable or temperature-sensitive items). You must ship within the time stated in your listing or, if none is stated, within the time required by applicable law (including the FTC Mail, Internet, or Telephone Order Merchandise Rule), and must notify the Buyer and offer the options required by law if you cannot. You may fulfill by:
Shipping labels. Yeoman may let you buy USPS, UPS, or other carrier labels through the Services. Label charges will be deducted from your Earnings or charged to your payment method. Carrier services are subject to the carrier’s terms; Yeoman is not responsible for carrier delays, loss, damage, or claims, and any insurance is provided by the carrier or insurer, not Yeoman.
Seller delivery. If you deliver yourself, you are responsible for your drivers, vehicles, insurance, and compliance with law.
Pickup. If you offer pickup, you are responsible for accurate pickup details and a safe pickup location.
6.6 Customer service, refunds, and recalls. You are responsible for responding to Buyers, resolving problems, and deciding refund and replacement requests as described in the Refund and Replacement Policy. You must promptly notify affected Buyers and Yeoman of any product recall or safety issue and remove affected listings.
6.7 Contacts you upload. Through People, you may upload or sync contacts (for example, customers, prospects, or suppliers) and ask Yeoman to invite or message them by email, SMS, or other channels. You represent and warrant that you have all rights, notices, and consents required under applicable law (including the Telephone Consumer Protection Act, CAN-SPAM Act, and state laws) for you to share those contacts with Yeoman and for Yeoman to contact them, including by automated text message. You are responsible for honoring opt-outs communicated to you. Yeoman may also use contact information you upload as described in Section 15 and our Privacy Policy.
6.8 Customers and per-customer pricing. You may set customer-specific prices, terms, and catalogs. You are responsible for any pricing you set and for complying with laws that apply to price differentiation.
6.9 Relationship with Buyers. You acknowledge that Buyers who buy from you through the Services are also Yeoman Users. Nothing in these Terms restricts Yeoman from communicating with, marketing to, recommending other Sellers or products to, or otherwise doing business with any User, including Buyers who have purchased from you. You must use Buyer personal information you receive through the Services in compliance with applicable privacy, anti-spam, and consumer protection laws, and you are independently responsible for that use.
6.10 Business insurance. You are responsible for maintaining insurance appropriate to your business, including product liability coverage. Yeoman recommends that Sellers maintain commercial general liability insurance, including product liability coverage, of at least $1,000,000 per occurrence. Yeoman may require proof of insurance for certain product categories.
7. Prohibited Items
You may not list, sell, buy, or facilitate the sale of any of the following through the Services:
• alcoholic beverages of any kind, including beer, wine, spirits, and alcohol-containing products regulated as alcohol;
• tobacco, nicotine, vaping, or e-cigarette products;
• cannabis, marijuana, hemp-derived intoxicants (including delta-8 and similar THC products), and drug paraphernalia;
• illegal drugs, controlled substances, prescription drugs, and unapproved or misbranded drugs or supplements;
• weapons, firearms, ammunition, explosives, and fireworks;
• hazardous materials that may not legally be shipped or sold as offered;
• recalled, adulterated, misbranded, expired, or unsafe food or other products;
• raw or unpasteurized products, live animals, or other items where sale is restricted, unless sold in full compliance with applicable law and approved by Yeoman in writing;
• counterfeit, stolen, or infringing goods;
• goods that require a license or permit the Seller does not hold;
• any item whose sale, purchase, shipment, or possession is illegal in the Seller’s or Buyer’s jurisdiction; and
• any other item Yeoman determines, in its discretion, is unsafe, inappropriate, or inconsistent with the Services.
We may remove listings, cancel orders, withhold payouts, and suspend accounts involved in prohibited items.
8. Payments, Fees, and Payouts
8.1 Payment processing. Payments on Yeoman are processed by Stripe, Inc. and its affiliates (“Stripe”). Yeoman does not store full payment card numbers. Your use of Stripe is also subject to Stripe’s terms and privacy policy.
8.2 Buyer payments. Buyers authorize Yeoman and Stripe to charge the payment method provided (or used through a payment link) for the total order amount, including taxes and charges shown at checkout. Payment links sent by Yeoman, by Main St GPT, or by text message are official only if sent from the Services or our ordering number; do not pay through links from any other source.
8.3 Stripe Connect for Sellers. Payment processing services for Sellers on Yeoman are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these Terms or continuing to operate as a Seller on Yeoman, you agree to be bound by the Stripe Services Agreement, as it may be modified by Stripe from time to time. As a condition of Yeoman enabling payment processing services through Stripe, you agree to provide Yeoman accurate and complete information about you and your business, and you authorize Yeoman to share it and transaction information related to your use of the payment processing services provided by Stripe.
8.3A Yeoman as your Stripe Connect platform. The Stripe Connected Account Agreement is available at https://stripe.com/legal/connect-account. For purposes of that agreement, these Terms and your Order Form are your “Platform Provider Agreement” with Yeoman. You authorize Yeoman to: (a) create or connect your Stripe account and conduct activity on it on your behalf, including initiating charges, refunds, transfers, and payouts; (b) instruct Stripe to share data about you, your account, your transactions, and your customers with Yeoman, and to share such data with Stripe; and (c) instruct Stripe to deduct from your Stripe account balance Stripe’s fees and Yeoman’s commissions and other fees. Stripe’s processing fees may be shown to you separately or included in Yeoman’s fees. While you sell on Yeoman, Yeoman may limit your ability to disconnect your Stripe account from Yeoman or to access certain Stripe features. If you do not have access to the Stripe Dashboard, contact help@yeoman.ai for support with payments and payouts. You are responsible for giving your customers any notices and obtaining any consents required for Stripe and Yeoman to collect, use, and share their personal information as described in these Terms, our Privacy Policy, and Stripe’s terms and privacy policy.
8.4 Commission. Yeoman charges Sellers a commission on each sale made through the Services. The commission rate varies by Seller and is set out in your Order Form or shown in your Seller dashboard. Unless otherwise stated, commissions are deducted from sale proceeds before payout.
8.5 Subscription fees. Sellers may also be required to pay subscription or platform fees as set out in their Order Form. Unless your Order Form says otherwise: (a) subscriptions renew automatically for successive periods of the same length at the then-current price until cancelled; (b) you authorize us to charge your payment method or deduct from your Earnings at each renewal; (c) you may cancel at any time in your account settings or by emailing legal@yeoman.ai, effective at the end of the current billing period; and (d) fees are non-refundable except as required by law or stated in your Order Form. We will notify you before any price increase takes effect.
8.6 Other fees. Other charges (for example, shipping labels, payment processing fees, chargeback fees, or optional add-on services) will be disclosed in the Services or your Order Form before you incur them.
8.7 Changes to fees. We may change our fees with advance notice to affected Users. Changes do not apply to orders already placed. Continued use of the Services after a fee change takes effect means you accept it.
8.8 Payouts. Seller proceeds, less commissions, fees, refunds, chargebacks, and other amounts owed, are paid out to your Stripe connected account on the schedule set by Stripe and shown in Earnings. Payout timing may depend on Stripe, your bank, risk reviews, and verification.
8.9 Holds, reserves, and set-off. To protect Buyers, Sellers, and Yeoman, we or Stripe may delay payouts, hold funds, or establish a reserve if we suspect fraud, a violation of these Terms, elevated refund or chargeback risk, or legal risk. You authorize Yeoman to deduct from your Earnings, or charge your payment method on file, any amounts you owe, including refunds, chargebacks, reversals, fees, penalties, and fines.
8.10 Refunds and chargebacks. Sellers are responsible for refunds they grant and for chargebacks, disputes, and reversals on their sales, including related fees. If Yeoman issues a refund to a Buyer under the Refund and Replacement Policy, the Seller authorizes Yeoman to recover that amount from the Seller. Whether commission is returned on a refunded order is governed by the Seller’s Order Form; payment processing fees generally are not returned.
8.11 Currency. All amounts are in U.S. dollars.
9. Taxes
Sellers are responsible for determining, collecting, reporting, and remitting all taxes that apply to their sales (such as sales, use, and excise taxes) and their income, except where applicable law requires Yeoman, as a marketplace facilitator or otherwise, to collect and remit tax on a sale, in which case Yeoman may do so and the Seller authorizes it. Buyers are responsible for any taxes that apply to their purchases and are not collected at checkout. Yeoman may be required to collect tax information and issue tax forms (such as Form 1099-K), and may withhold payouts until required information is provided. Yeoman is responsible only for taxes on its own fees and income.
Yeoman complies with applicable sales and use tax laws for both wholesale (business-to-business) and retail (consumer) transactions on the Services. Business Buyers purchasing for resale or otherwise exempt from tax may provide a valid resale or exemption certificate, and are responsible for its accuracy; Yeoman and Sellers may rely on it and may collect tax if a valid certificate is not provided. Where Yeoman is required by law to collect tax as a marketplace facilitator, the tax will be calculated and shown at checkout and remitted by Yeoman; otherwise, the Seller is responsible for collecting and remitting it.
10. Main St GPT and Other AI Features
10.1 What Main St GPT is. Main St GPT is an AI assistant built into the Services. It uses artificial intelligence, including large language models from third-party AI model providers, to answer questions, search products, and take actions in the Services. Replies from Main St GPT are generated by AI and sent by Yeoman. They are not written by a person and are not statements of any Seller.
10.2 Actions Main St GPT can take. Depending on your settings and permissions, Main St GPT can read information in your account and take actions for you, including placing orders, sending payment links, messaging or inviting contacts, and updating your account, Catalog, or orders. When you ask or allow Main St GPT to take an action, you authorize that action, and it is binding on you as if you had taken it yourself.
10.3 You are responsible for confirming actions. Before approving any action, you are responsible for reviewing it carefully, including items, quantities, prices, recipients, delivery details, and message content. Main St GPT may ask for confirmation before certain actions, but Yeoman is not required to request confirmation, and the absence of a confirmation step does not shift responsibility to Yeoman. You are responsible for promptly reviewing actions taken and correcting any errors with affected parties.
10.4 No reliance on AI output. AI output can be inaccurate, incomplete, outdated, or inappropriate, even when it sounds confident or detailed. Main St GPT may misunderstand requests, misstate prices, availability, or product details, or take an action you did not intend. You should not rely on AI output as a sole source of truth, and you must independently verify any information that matters to you, including allergen, ingredient, nutrition, pricing, and legal or tax information. Main St GPT does not provide legal, tax, financial, medical, nutritional, or other professional advice. The listing, Order Form, checkout, and order confirmation control over anything Main St GPT says.
10.5 Inputs and outputs. Your prompts, messages, files, and other inputs to AI features (“Inputs”) and the responses and actions generated (“Outputs”) are part of Yeoman Data and User Content as described in Section 15. Subject to these Terms, you may use Outputs for your internal business or personal purposes. Outputs may be similar to outputs provided to others, and you receive no exclusive rights in them.
10.6 How we use AI interactions. We may store, review (by automated means and by people), and use Inputs and Outputs to provide and improve the Services, to train, fine-tune, and evaluate AI models, for safety and abuse prevention, and for any other purpose described in Section 15 and our Privacy Policy. Inputs and Outputs may be processed by third-party AI model providers. Do not share information with Main St GPT that you do not want used in this way.
10.7 AI use restrictions. You may not: (a) attempt to bypass safety measures or manipulate AI features into taking unauthorized actions (including through prompt injection); (b) use AI features to generate unlawful, deceptive, harassing, or infringing content; (c) use Outputs or the Services to develop or train competing AI models or services; or (d) represent AI output as human-generated where that would be misleading.
10.8 Our right to refuse or intervene. We may refuse, limit, pause, or reverse any AI action, and may monitor and log AI activity, for safety, security, legal, or operational reasons, at our discretion.
11. Third-Party AI Agents and Automated Ordering
11.1 Agentic commerce. Yeoman may make products, listings, and ordering capabilities available to third-party AI agents, assistants, and platforms (“AI Agents”), including through APIs or protocols that let an AI Agent discover products and place orders on behalf of a User.
11.2 Orders by your AI Agent bind you. If you use, authorize, connect, or give credentials, payment credentials, or tokens to an AI Agent that interacts with Yeoman on your behalf, you are responsible for, and bound by, every order, payment, message, and other action that AI Agent takes through the Services, as if you had taken it yourself, whether or not it followed your specific instructions. Yeoman may rely on any request that appears to come from you or your AI Agent. You are responsible for setting appropriate limits and safeguards with your AI Agent provider, and for disputing errors with that provider.
11.3 Sellers. Sellers agree that orders placed through AI Agents are valid orders subject to these Terms, and that Yeoman may display, syndicate, and make available their listings, prices, and availability to AI Agents and third-party platforms.
11.4 Agent access. Automated access to the Services by AI Agents or other software is permitted only through interfaces we designate and subject to any API or developer terms we publish. We may block, limit, or require registration of any AI Agent at our discretion. AI Agents are third-party services (Section 18), and Yeoman is not responsible for them.
12. SMS and iMessage Ordering Program
12.1 How it works. Yeoman operates a text-message ordering channel at +1 (832) 399-1571 (the “Ordering Number”). You can text the Ordering Number to ask about products, request purchases, and receive payment links, order updates, and related messages. Messages you receive are sent by Yeoman and may be generated by Main St GPT.
12.2 Consent. By texting the Ordering Number, or by providing your mobile number to Yeoman and agreeing to receive messages, you consent to receive recurring text messages (SMS, MMS, and iMessage) from or on behalf of Yeoman at that number, including messages sent using automated technology, about your requests, orders, payment links, account, and the Services. We use the Ordering Number for service and transactional messages only; we do not send marketing text messages to it. You represent that you are the subscriber or authorized user of the mobile number you use.
12.3 Message frequency and rates. Message frequency varies based on your activity. Message and data rates may apply. Your mobile carrier’s charges are your responsibility.
12.4 STOP and HELP. You can opt out at any time by texting STOP to the Ordering Number. We will send one message confirming your opt-out, and then stop sending texts to that number (except as permitted by law). To opt back in, text START. For help, text HELP or contact help@yeoman.ai. Opting out of texts does not cancel orders already placed.
12.5 Carriers and Apple. Carriers are not liable for delayed or undelivered messages. iMessage is provided by Apple and is subject to Apple’s terms. Texting is not always secure; do not send full payment card numbers, passwords, or other sensitive information by text.
12.6 Orders by text. Orders you request or confirm by text, including by paying through a payment link we send, are binding orders under these Terms. Anyone with access to your phone may be able to place orders through the Ordering Number; you are responsible for them.
12.7 Privacy. Text messages and related information are handled under our Privacy Policy.
13. Messaging and Communications on the Platform
The Services include messaging among Buyers, Sellers, team members, and Yeoman, and invitations sent at a User’s request. You are responsible for your messages. Yeoman may scan, review, store, and use messages sent through the Services for safety, fraud prevention, enforcement, support, product improvement, and the other purposes in Section 15 and our Privacy Policy. Do not use messaging to send spam or to take transactions off the Services to avoid fees.
14. Acceptable Use
You agree not to, and not to help anyone else to:
• violate any law or anyone’s rights, or use the Services for fraudulent, deceptive, or illegal purposes;
• list or buy prohibited items (Section 7) or misrepresent any product, price, or your identity or affiliation;
• manipulate prices, reviews, ratings, search results, or analytics, or create fake orders or accounts;
• send spam or unsolicited messages, or upload contacts you lack consent to share;
• harass, threaten, discriminate against, or harm anyone;
• upload viruses or malicious code, or interfere with, overload, or disrupt the Services;
• access or collect data from the Services by scraping, crawling, or other automated means, except through interfaces we authorize;
• probe, scan, or test the vulnerability of the Services or bypass security, access, or rate-limit controls;
• reverse engineer, decompile, or copy the Services, except as permitted by law;
• use the Services to build a competing product or service, or to benchmark for competitive purposes without our consent;
• resell, sublicense, or provide access to the Services to third parties except as allowed by these Terms; or
• use the Services in any way we reasonably believe is harmful to Yeoman, Users, or the public.
15. Your Content, Yeoman Data, and the License You Grant Us
15.1 Definitions. “User Content” means all information, data, and material that you or anyone acting for you submits, uploads, syncs, or makes available through the Services, including listings, Catalog data, product images, prices, business information, Third-Party Receipts, uploaded contacts, messages, reviews, Inputs, and files. “Seller Business Data” means a Seller’s own Catalog, product, pricing, and business information. “Yeoman Data” means all data generated or collected by Yeoman through the operation of the Services, including Buyer account information, order and transaction data, usage and device data, Main St GPT and SMS conversations (Inputs and Outputs), analytics, and data derived from any of the foregoing.
15.2 Ownership. As between you and Yeoman: (a) Sellers retain ownership of their Seller Business Data, subject to the license in Section 15.3; (b) you retain whatever ownership rights you have in your other User Content, subject to the license in Section 15.3; and (c) Yeoman owns all Yeoman Data, including Buyer accounts, order data, and Main St GPT chats, which Yeoman will handle as described in our Privacy Policy. Nothing in these Terms gives any Seller ownership of, or exclusive rights to, any Buyer, Buyer account, Buyer relationship, or Yeoman Data.
15.3 License to Yeoman. You grant Yeoman and its affiliates a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable (through multiple tiers) license to host, store, reproduce, use, copy, analyze, combine with other data, modify, adapt, translate, publish, publicly display, distribute, create derivative works from, commercialize, and otherwise exploit your User Content, in any media now known or later developed, for any business purpose, including to: (a) provide, operate, maintain, and improve the Services; (b) train, fine-tune, evaluate, and improve artificial intelligence and machine learning models, including models operated by third-party AI model providers acting for Yeoman; (c) develop new products, services, and features; (d) create analytics, benchmarks, insights, and market data; (e) display and syndicate listings and product information on and off the Services, including to search engines, AI Agents, and partners; and (f) market and promote Yeoman and Sellers.
15.4 Survival. The license in Section 15.3 survives termination of these Terms, closure of your account, and deletion of your User Content, and applies to User Content already used, incorporated into models, derived works, or aggregated data. Handling of personal information remains subject to our Privacy Policy and applicable law.
15.5 Aggregated and de-identified data. Yeoman may create aggregated, anonymized, or de-identified data from User Content and Yeoman Data. Yeoman owns such data outright and may use and share it for any purpose without restriction or compensation to you.
15.6 Names and marks. Sellers grant Yeoman a non-exclusive, royalty-free license during their use of the Services (and for a reasonable wind-down period afterward) to use their business names, logos, and trademarks to identify them as a Seller, to display their listings, and in marketing materials and customer lists.
15.7 Your representations. You represent and warrant that you own or have all rights, licenses, consents, and permissions needed to submit your User Content and grant the licenses in these Terms, and that your User Content and our use of it as permitted by these Terms will not infringe or violate anyone’s rights or any law. To the extent permitted by law, you waive any moral rights in your User Content.
15.8 No obligation to host. We may review, refuse, edit, or remove User Content at our discretion, but we have no obligation to monitor or keep any User Content. You are responsible for keeping your own copies.
16. Yeoman’s Intellectual Property; Feedback
16.1 Our IP. The Services, including our software, AI features, designs, text, graphics, and the Yeoman and Main St GPT names and logos, are owned by Yeoman or its licensors and protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Services for their intended purpose. All rights not expressly granted are reserved.
16.2 Feedback. If you give us ideas, suggestions, or other feedback, you grant Yeoman a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use it for any purpose without restriction, confidentiality, or compensation.
17. Intellectual Property Complaints
We respect intellectual property rights. If you believe material on the Services infringes your copyright or trademark, send a notice to legal@yeoman.ai that includes: your contact information; identification of the work or mark; identification and location of the allegedly infringing material; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that the information is accurate and you are authorized to act for the rights owner; and your physical or electronic signature. We may remove material and terminate repeat infringers.
18. Third-Party Services
The Services integrate with and rely on services provided by third parties, such as Stripe (payments), Clerk (authentication), USPS, UPS, and other carriers, third-party AI model providers, Apple and mobile carriers (messaging), Seller systems and integrations, and AI Agents (“Third-Party Services”). Third-Party Services are governed by their own terms and privacy policies. Yeoman does not control and is not responsible for Third-Party Services, and your use of them is at your own risk. If you connect a Third-Party Service, you authorize data to be exchanged between it and Yeoman.
19. No Guarantees; Marketplace Disclaimer
19.1 No guarantee of results. Yeoman does not guarantee any level of sales, revenue, orders, order volume, customers, traffic, search ranking, placement, or visibility, including visibility in, or recommendations by, Main St GPT, search engines, AI Agents, or third-party AI platforms. Analytics, forecasts, and insights are estimates and may be inaccurate.
19.2 No service levels. Yeoman does not offer any uptime, availability, response-time, or other service level commitment. The Services may be interrupted, delayed, or unavailable, and features may change or be discontinued.
19.3 Disputes between Users. Buyers and Sellers are solely responsible for their dealings with each other. Yeoman may, but is not required to, help resolve disputes, and any decision we make about a dispute or refund is made at our discretion and does not make Yeoman responsible for the underlying transaction.
19.4 Release. To the fullest extent permitted by law, you release Yeoman and its affiliates, officers, directors, employees, and agents from claims, demands, and damages of every kind arising out of or connected with disputes between you and other Users or third parties, including disputes about products. If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” This release does not apply to claims that cannot be released under applicable law.
20. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, INCLUDING MAIN ST GPT, AI FEATURES, OUTPUTS, AND ALL CONTENT, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. YEOMAN DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. YEOMAN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT AI OUTPUTS OR ACTIONS WILL BE ACCURATE OR AS INTENDED, OR THAT ANY PRODUCT, SELLER, OR BUYER WILL MEET YOUR EXPECTATIONS. YEOMAN MAKES NO WARRANTY ABOUT ANY PRODUCT SOLD THROUGH THE SERVICES; ANY PRODUCT WARRANTY IS GIVEN SOLELY BY THE SELLER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
21. Limitation of Liability
21.1 Excluded damages. TO THE FULLEST EXTENT PERMITTED BY LAW, YEOMAN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SALES, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, ANY PRODUCT, ANY USER, ANY AI OUTPUT OR ACTION (INCLUDING UNINTENDED ORDERS, PAYMENTS, OR MESSAGES), OR ANY THIRD-PARTY SERVICE OR AI AGENT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, STATUTE, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
21.2 Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, YEOMAN’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO YEOMAN (NOT INCLUDING AMOUNTS PAID TO SELLERS FOR PRODUCTS) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
21.3 Application. These limitations are an essential part of the bargain between you and Yeoman and apply even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited under applicable law, such as liability for fraud or, where applicable, gross negligence, willful misconduct, or death or personal injury caused by Yeoman’s negligence. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
22. Indemnification
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Yeoman and its affiliates, officers, directors, employees, and agents from and against all claims, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms, the Policies, or any law or third-party right; (d) for Sellers, your products, listings, fulfillment, taxes, recalls, and dealings with Buyers, and your uploaded contacts and any messages sent to them at your request; (e) actions taken by Main St GPT or any AI Agent at your instruction or on your behalf; and (f) the acts or omissions of your team members. Yeoman may assume control of the defense of any matter at your expense, and you will cooperate. If you are a consumer, this Section applies only to the extent permitted by applicable law.
23. Suspension and Termination
23.1 By you. You may stop using the Services at any time and may request closure of your account through your settings or by emailing legal@yeoman.ai. Sellers remain responsible for open orders, refunds, chargebacks, and fees, and any Order Form commitments.
23.2 By Yeoman. Yeoman may, at its discretion and with or without notice, suspend, limit, or terminate your access to all or part of the Services, remove listings or content, cancel orders, or hold payouts, for any reason, including if we believe you have violated these Terms, created risk or legal exposure for Yeoman or others, or if required by law. Where we think it appropriate, we may give you notice and an opportunity to respond, but we are not required to.
23.3 Effect. On termination, your right to use the Services ends. Sections that by their nature should survive will survive, including Sections 2, 8 (for amounts owed), 9, 10.4–10.6, 11.2, 15, 16, 19–22, and 25–28.
24. Changes to the Services and These Terms
24.1 Services. We may add, change, suspend, or discontinue any part of the Services at any time.
24.2 Terms. We may modify these Terms from time to time. We will post the updated Terms with a new “Last updated” date and, for material changes, provide notice by email, in the Services, or by other reasonable means before they take effect. Your continued use of the Services after changes take effect means you accept the updated Terms. If you do not agree, you must stop using the Services. Changes to Section 26 are subject to Section 26.10.
25. Consent to Electronic Communications
You consent to receive all agreements, notices, disclosures, receipts, tax forms, and other communications from Yeoman electronically, including by email, text message, in-app notice, or posting on the Services, and agree that electronic communications satisfy any legal requirement that they be in writing. You agree that your electronic acceptance of these Terms and any Order Form is binding. To withdraw consent to electronic communications you must close your account. You are responsible for keeping your email address and phone number current.
26. Dispute Resolution: Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
26.1 Informal resolution first. Before starting arbitration or a small claims case, you and Yeoman agree to try to resolve any dispute informally. The party raising the dispute must send a written notice (“Notice of Dispute”) that includes the sender’s name, contact information, and account email or phone number; a description of the dispute; and the relief sought. Notices to Yeoman must be sent to legal@yeoman.ai (with a copy by mail to Yeo Foods, Inc., Attn: Legal, 135 W 10th St, New York, NY 10014). Notices to you will be sent to the contact information in your account. For 60 days after the Notice of Dispute is received, the parties will negotiate in good faith, and upon request either party may require an individual settlement conference (by phone or video) in which you personally participate (with counsel if you wish). Statutes of limitations are tolled during this period. This informal process is a condition to starting arbitration.
26.2 Agreement to arbitrate. Except as provided in Section 26.3, you and Yeoman agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, any product or transaction through the Services, or our relationship (each, a “Dispute”) will be resolved by final and binding individual arbitration, and not in court. This agreement to arbitrate is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq. (“FAA”), and applies to claims arising before or after you accepted these Terms.
26.3 Exceptions. Either party may: (a) bring an individual claim in small claims court if it qualifies and remains there on an individual basis; (b) seek injunctive or other equitable relief in court to stop actual or threatened infringement, misappropriation, or violation of intellectual property rights or unauthorized access to or misuse of the Services; and (c) to the extent a claim for public injunctive relief cannot be waived or arbitrated under applicable law, pursue that claim in court after all arbitrable claims have been resolved in arbitration, with the court proceeding stayed until then.
26.4 Rules and administrator. Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules if you are an individual using the Services primarily for personal, family, or household purposes, or otherwise under its Commercial Arbitration Rules, each as modified by this Section 26 (available at www.adr.org). If AAA is unavailable, the parties will agree on another administrator or a court will appoint one under the FAA. A single arbitrator will decide the Dispute. For consumers, any hearing will take place in the county where you live or, at your election, by video conference, telephone, or written submissions. For business Users, any hearing will take place in New York County, New York, or by video conference.
26.5 Arbitrator’s authority. The arbitrator will decide all issues, including the scope, enforceability, and arbitrability of this Section 26, except that a court will decide (a) whether Section 26.7 (class action waiver) or Section 26.8 (mass arbitration) is enforceable or has been violated, and (b) whether a claim qualifies for small claims court. The arbitrator may award any individual relief available in court, only in favor of the individual party seeking relief and only to the extent needed to provide relief warranted by that party’s individual claim. The arbitrator’s decision is final and binding, and judgment may be entered in any court with jurisdiction.
26.6 Fees. If you are a consumer, Yeoman will pay all AAA filing, administration, and arbitrator fees for any arbitration you start, other than an initial filing fee equal to what you would pay to file a lawsuit in court, unless the arbitrator finds your claim frivolous or brought for an improper purpose. For business Users, fees will be allocated under the applicable AAA rules. Each party bears its own attorneys’ fees and costs unless the arbitrator awards them under applicable law.
26.7 Class action and jury trial waiver. YOU AND YEOMAN AGREE THAT EACH MAY BRING DISPUTES ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims or preside over any form of class or representative proceeding except as provided in Section 26.8. YOU AND YEOMAN EACH WAIVE THE RIGHT TO A JURY TRIAL. If a court finds this class action waiver unenforceable as to any claim, that claim (and only that claim) will be severed and decided in court after individual arbitration of all other claims, and the remainder of this Section 26 will still apply.
26.8 Mass arbitration. If 25 or more similar Notices of Dispute or demands for arbitration are submitted against Yeoman by the same or coordinated counsel or organizations, they will be administered in batches. The first batch will include up to 10 claims (5 selected by each side), each decided by a different arbitrator, and the remaining claims will not be filed or administered (and no fees will be due for them) until the first batch is resolved. After that, remaining claims will be administered in batches of up to 50, with each batch assigned to a single arbitrator, unless the parties agree otherwise. The parties will engage in good-faith global mediation after the first batch. Statutes of limitations are tolled for claims awaiting batching. A court may enforce this Section.
26.9 30-day right to opt out. You may opt out of this agreement to arbitrate by emailing legal@yeoman.ai within 30 days after you first accept these Terms (or, if you were an existing User, within 30 days after these Terms were first posted). Your email must include your full name, the email address and phone number associated with your account, and a clear statement that you are opting out of the Yeoman arbitration agreement. Opting out does not affect any other part of these Terms. If you opt out, Section 27 governs where Disputes are resolved.
26.10 Changes to this Section. If Yeoman makes a material change to this Section 26 after you accept it, you may reject the change by emailing legal@yeoman.ai within 30 days after the change takes effect, and the most recent version you accepted will continue to govern Disputes between us.
26.11 Severability. Except as provided in Section 26.7, if any part of this Section 26 is found unenforceable, the rest will remain in effect.
27. Governing Law and Venue
These Terms and any Dispute are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, except that Section 26 is governed by the FAA. For any Dispute not subject to arbitration, you and Yeoman consent to the exclusive jurisdiction of, and venue in, the state and federal courts located in New York County, New York, except that either party may bring a qualifying claim in small claims court where you live. Nothing in this Section deprives consumers of the protection of mandatory consumer protection laws of the state where they live.
28. General Provisions
28.1 Entire agreement. These Terms, the Policies, and any Order Form are the entire agreement between you and Yeoman about the Services and supersede prior agreements on that subject.
28.2 Assignment. You may not assign or transfer these Terms without our prior written consent. Yeoman may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
28.3 Severability and waiver. If any provision is found unenforceable, it will be modified to the minimum extent needed to make it enforceable, and the rest will remain in effect. Our failure to enforce a provision is not a waiver.
28.4 Force majeure. Yeoman is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, pandemics, labor disputes, internet or utility failures, carrier or payment-processor outages, failures of third-party AI model providers, cyberattacks, and government action.
28.5 Relationship. No agency, partnership, joint venture, fiduciary, franchise, or employment relationship is created by these Terms, except for the limited payment collection agency described in Section 2.4. Sellers are independent businesses.
28.6 No third-party beneficiaries. These Terms do not create rights for any third party, except that Yeoman’s affiliates and personnel are intended beneficiaries of Sections 19–22.
28.7 Notices. Legal notices to Yeoman must be sent to legal@yeoman.ai, with a copy to Yeo Foods, Inc., Attn: Legal, 135 W 10th St, New York, NY 10014. We may give you notice as described in Section 25.
28.8 Export and sanctions. You will comply with U.S. export control and sanctions laws in using the Services.
28.9 Mobile app stores. If you download a Yeoman app from an app store, the app store’s terms also apply to your use of the app, and the app store provider has no obligation to provide support or warranties for the app.
28.10 California notice. Under California Civil Code Section 1789.3, California users are entitled to this notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
28.11 Interpretation. Headings are for convenience only. “Including” means “including without limitation.” These Terms are written in English, which controls over any translation.
